Terms of Service

1. Acceptance of Terms

By accessing or using RegisteredBrands.AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

2. Description of Service

RegisteredBrands.AI provides a brand identity verification and trust infrastructure platform for the agentic commerce ecosystem. The Service includes Brand Capsule creation and management, trust score calculation, machine-readable verification API endpoints, Distributor Badge Key issuance, community flagging, and related tools designed for both human users and autonomous AI agents.

3. Account Registration

You must create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. Brand Capsules

When you create a Brand Capsule, you represent and warrant that: you are authorized to represent the brand being registered; all information provided is accurate and not misleading; all documents submitted are authentic and unaltered; and you have the right to make the brand information publicly available for verification purposes.

You acknowledge that Brand Capsule data, including brand name, domain, trust score, and verification status, will be publicly accessible through our Explorer dashboard and API endpoints to enable trust verification by AI agents and other users.

5. Trust Scores

Trust scores are calculated algorithmically based on verification depth, documentation, community reputation, and other factors. Trust scores are informational and do not constitute a guarantee, endorsement, or certification of any brand. We reserve the right to adjust trust score algorithms and individual scores at our discretion, including applying penalties for community flags or policy violations.

6. Distributor Badge Keys

Badge Keys are trust delegation tokens issued by verified brands to authorized distributors. You are solely responsible for managing Badge Keys you issue, including setting appropriate permissions and revoking keys when necessary. We are not liable for any unauthorized use of Badge Keys or actions taken by parties holding your Badge Keys.

7. API Usage

Access to our API endpoints is subject to rate limits and usage restrictions based on your subscription tier. You agree not to: exceed your tier's rate limits; use the API for any unlawful purpose; attempt to circumvent authentication or security measures; scrape, cache, or redistribute API data beyond what is necessary for verification purposes; or use the API in a manner that degrades service for other users.

8. Community Flagging

Verified brands may flag other capsules for impersonation, fraud, misleading information, or abuse. Flags must be submitted in good faith with supporting evidence. Filing false or malicious flags is a violation of these Terms and may result in trust score penalties or account suspension. We review flags and apply trust penalties at our discretion.

9. Prohibited Conduct

You agree not to: register Brand Capsules for brands you do not represent; submit fraudulent or forged verification documents; manipulate trust scores through artificial means; use the Service to facilitate fraud, impersonation, or deception; interfere with or disrupt the Service or its infrastructure; reverse engineer, decompile, or disassemble any part of the Service; or violate any applicable laws or regulations.

10. Subscription Plans and Payment

Certain features require a paid subscription. Subscription fees are billed in advance on a monthly basis. You may cancel your subscription at any time, with access continuing until the end of the current billing period. We reserve the right to modify pricing with 30 days' notice. Refunds are provided at our discretion.

11. Intellectual Property

The Service, including its design, code, algorithms, and documentation, is owned by RegisteredBrands.AI and protected by intellectual property laws. You retain ownership of the content you submit. By creating a Brand Capsule, you grant us a worldwide, non-exclusive license to use, display, and distribute your brand information as necessary to operate the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRUST SCORES AND VERIFICATION RESULTS ARE PROVIDED FOR INFORMATIONAL PURPOSES AND SHOULD NOT BE THE SOLE BASIS FOR BUSINESS DECISIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGISTEREDBRANDS.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSSES FROM BOT-TO-BOT TRANSACTIONS RELYING ON VERIFICATION DATA.

14. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your Brand Capsules will be marked as inactive, and your data will be retained for 90 days before deletion. Provisions that by their nature should survive termination will remain in effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
